Explanatory Notes to Resolutions
- Agenda Item 17, Resolution 15: It is proposed to maintain the Membership fees at £5 for the year commencing 1st April 2021.
- Agenda Item 18, Resolution 16: As a result of the Covid-19 pandemic, it is proposed that membership fees for the year commencing 1st April 2020 will be waived. Members who have already paid for that year will receive a fees holiday for the year commencing 1st April 2021.
- Agenda Item 19, Resolution 17: Wheel Easy Members subscribe a modest sum (currently £5pa) to cover running costs and events such as Travellers’ Tales, AGM, etc. As a club with no premises, our expenses are relatively low and less than subscription income. Over time we have therefore had an increasing bank balance which is circa £4,700 now. The committee has made donations to good causes from time-to-time. This resolution, if approved, is to seek formal Member approval for this practice within a formal framework in that the Management Committee will establish a maximum value both for individual donations and the sum of donations for each financial year, having regard to prudent financial management of the Company. The preference is to donate to registered charities. Other requests will be considered as long they meet HMRC definitions for Companies Limited by Guarantee, such as WELC. Members are encouraged to put forward suggestions for donations within this policy.
Proxy form explanatory notes
Register of Members
To be entitled to appoint a proxy or to submit your votes at the Annual General Meeting, you must be entered into the Wheel Easy Leisure Cycling Ltd Register of Members by 6:30 PM on Tuesday 24th November 2020. If you have submitted a completed WELC Letter of Guarantee then you will already be in the Register. Please see ‘Eligibility’ below.
Appointing a proxy
You can appoint either the chairman of the meeting, or either of the company directors present (Mrs Helen Bevis, or Mr Vincent Grealy) as your proxy to attend and vote at the meeting on your behalf. Please add the name of the person you wish to be a proxy notice section. Note that your proxy is obliged to vote in accordance with your instructions, if any, given using the voting form. If you do not indicate how you wish to vote, your appointed proxy or the chairman of the meeting will vote as they see fit.
Please complete the online form above or alternatively you can vote by post; download, complete and return the proxy form and the voting form (if appropriate) on page 3, including your name, address and signature. Please return to: Wheel Easy Leisure Cycling Ltd, Sugden Wood House, York Road, Wetherby LS22 5EQ. Your instructions must be received by 12:00 noon on Monday 23rd November 2020.
Revoking your proxy
If you wish to revoke your proxy appointment, this only takes effect if it is delivered before the start of the relevant meeting.
Abstentions
This option is provided to enable you to instruct your proxy not to vote on any of the specified resolutions. A vote to abstain is not a vote in law and will not be counted in the calculation of the proportion of votes ‘For’ or ‘Against’ a resolution. It will be counted in a quorate determination.

Please ensure you are eligible to vote. By voting, you confirm that you meet the following eligibility rule:
You are a Member of Wheel Easy Leisure Cycling Limited. This requires completion of a Letter of Guarantee to the company and the recording of this in the Wheel Easy Leisure Cycling Limited Register of Members.
If you haven’t yet completed this Letter, you can download a copy as part of the Membership Form on the ‘Joining Us’ page. Please complete and return it to Wheel Easy Leisure Cycling Ltd, Sugden Wood House, York Road, Wetherby LS22 5EQ by 12:00 noon on Monday 23rd November 2020.
